As the Constitutional court of Thailand has not explicitly defined the definition and meaning of “being given concession” and “Being a party of monopoly state contract” including “directly or indirectly”. To serve as a guideline for listed companies to consider whether they have or being given concession from the state or being a party of monopoly state contact directly or indirectly, SET has gathered preliminary information about the definition and meaning of the aforementioned words and phrases from Constitutional court of Thailand and National Anti-Corruption Commission (NACC) consisting of judicial decisions or opinions in memorandum of discussion relating to interpretation and meaning of the aforementioned words and phrases, which can be summarized as follows.

The memorandum of discussion of National Anti-Corruption Commission (NACC) No. NC 0028/0021 on April 2nd 2013 In case of a mayor has become a state lottery distribution representative via lottery distributor machine with the Government Lottery Office, if the representative contract is in the form of exclusive rights given to company or individual and no other companies or individuals have the rights to operate such businesses or tasks as mentioned in the contract, it could be said that the mayor is a party in a monopoly state contract with a state enterprise entity. For the mayor to be a party in a monopoly state contract is prohibited under section 100(3) of the Organic Law on Counter Corruption and section 265(2) and section 284 of the Constitutional law of the Kingdom of Thailand. |

The judicial decision of Constitutional Court of Thailand No. 12-14/2553 on November 3rd 2010 The prohibition to directly or indirectly operate or be a part of forbidden businesses according to the constitution law of Thailand intends to prohibit any action that can be used or influenced to hold interests in forbidden businesses in accordance with the Constitution law. The prescription under such section will also intend to include the matter in relation of holding shares in companies that do not operate the forbidden businesses directly but the companies are holding shares in other companies that operate forbidden businesses which accounts as indirectly being a part of forbidden business. And it can be seen that Company A is operating in retail oil business. Although the Company is not the one which have been granted monopoly concession or being a party in a state concession contact, but Company A is a holding company which holds shares in Company B which have been granted concession by the state. Therefore holding shares in company B is forbidden and holding shares in company A is the same as holding shares in a company with forbidden business indirectly. |
