The meeting of the Board of Directors (the Meeting) of Bangchak Corporation
Public Company Limited (BCP) No. 11/2017 held on 19 July 2017 has resolved to
approve the amalgamation between BBH Holding Company Limited and KSLGI Company
Limited (a subsidiary in which Khon Kaen Sugar Industry Public Company Limited
will establish in order to accept the transfer of and hold 99.99% of the total
issued shares in KSL Green Innovation Public Company Limited)) (the
Amalgamation). The shareholding of BCP in the amalgamated company will be 60%
and that of KSL will be 40%, respectively. Please refer to further key
information in relation to the Amalgamation in the enclosed information
memorandum (Enclosure).
