                Acquisition or disposition of assets

Pursuant to the Board of Directors' Meeting No. 8/2019 of Somboon Advance 
Technology Public Company Limited (the "Company") on 8 August 2019 at which
Bangkok Spring Industrial Company Limited ("BSK"), a subsidiary of the Company
whose 99.99 percent of the total issued shares are held by the Company, was
approved to make its investment in 50.99 percent of total issued shares of
Nippon Kikai Engineering Company Limited ("NKE"), a company operating business
of engineering design in automation, automation system including installation
and system integration, with a total investment value of Baht 69,974,100. The
said investment is still subject to the fulfillment of the conditions precedent
and the accuracy of the warranties in the Share Subscription Agreement, the
Share Purchase Agreement and the Shareholder Agreement.
Today, the conditions precedent has been fulfilled and the warranties are 
accurate, BSK, then, makes its investment in NKE.
